Abstract: The current economic situation in China is becoming increasingly severe, and many Chinese companies have a strong tendency for their management to leave it, intending to find a more stable development platform at a time of declining corporate efficiency. Those companies’ stable employment relationships are under serious threat. How to enhance management loyalty through restricted stock plans is of practical, theoretical value for companies at this time. This paper aimed to investigate the effectiveness of the management of restricted stock plans in enhancing loyalty management from the perspective of corporate governance and explore effective ways to improve corporate competitiveness and restricted stock plan management. The research focused on Company A, a Chinese company, as an example. Data were analyzed based on a theoretical framework. The results revealed that restricted stock plans played a mediating role in enhancing loyalty management in the corporate governance process. The research found three main factors that influenced loyalty management in the implementation of Company A’s restricted stock plans, namely: the grant amount factor, the restriction period factor, and the corporate institutional mechanism. Finally, the implementation of restricted stock plans was appropriate, helping the company to deal with the dual pressure of economic downturn and high management turnover situation effectively.
metadata.dc.description.other-abstract: 目前国内经济形势日趋严峻,很多身处其中的公司管理层产生了较强的离职 倾向,意图在企业效益下降之际寻找更稳定的发展平台。对于这些企业来说,其 稳定的雇佣关系受到了严重的威胁。如何通过限制性股票计划提升管理层的忠诚 度,这对于此时此刻的企业来说具有切实的理论研究价值。本文从公司治理的角 度出发,以国内A 公司为例,分析实施管理层限制性股票计划对提升管理层的忠 诚度的切实效用,同时探寻提高企业竞争力的有效途径、完善我国管理层限制性 股票计划的相关理论依据。 本文基于研究所总结得出的主要结论有如下三点:首先,限制性股票计划会 在公司治理过程中对于提升管理层的忠诚度起到中介作用;其次,在实行限制性 股票计划的过程中对于管理层忠诚度产生影响的主要因素有三点,分别是:授予 额度因素、限售期因素、公司体制机制因素;最后,在面临经济下行趋势与管理 层高离职境况双重压力的企业中实施限制性股票计划是十分合适的。
